Terms and Conditions

1. About these terms
These terms are from Crewcab Systems LLC, a Missouri limited liability company doing business as Crewcab (“Crewcab,” “we,” “us”). Crewcab was formerly named Byers & Co Marketing LLC.
These terms cover:
- your use of our website at https://www.crewcabsystems.com, including our call booking page;
- text messages and phone calls between you and Crewcab; and
- the work we do for you, as explained in Section 2.
By using our website, you agree to these terms. If you don’t agree, please don’t use the site.
2. How these terms apply to our work
When you hire us, we send you a proposal that describes the work, price, and timeline and names the version of these terms that applies. In these terms, “statement of work” means that proposal or any separate statement of work we both approve. When you sign the proposal or pay its deposit invoice, you agree to these terms for that work.
If these documents conflict, this order controls: (1) any client agreement we both sign, (2) your statement of work, and (3) these terms.
3. Business customers only
Our services are for businesses, not for personal, family, or household use. You must be at least 18 years old. If you act for a business, you confirm that you are authorized to agree to these terms for it, and “you” means that business.
4. Booking a call
When you book a call, you agree to these terms and our Privacy Policy. Booking a call or talking with us does not create a client relationship and does not commit either of us to any work, price, or timeline. It also does not sign you up for marketing. Please don’t send passwords or confidential information when you book.
5. Projects
Unless your proposal or statement of work says otherwise:
- Scope. We build what your statement of work describes. New or different work needs a written, priced change order that you approve before it starts.
- Your part. Timelines depend on you giving us access, information, and approvals on time. If those are late, deadlines move.
- Reviews. Each statement of work sets the review stages and the number of revision rounds. Extra rounds need a change order.
- Acceptance. You have 5 business days after we deliver work to review it and tell us anything that doesn’t match the statement of work. If you don’t tell us, or you start using the work in your business, the work is accepted.
6. Payment
- Projects. Fixed-price projects are billed as a 25% deposit before work starts and the remaining 75% when the work is accepted under Section 5. We launch or hand over the work once the final payment is made.
- Monthly plans. Monthly plans are billed in advance each month (see Section 7).
- Due date. Invoices are due 7 calendar days after you receive them. We accept the payment methods listed on each invoice, such as card, bank transfer (ACH), and check.
- Late payment. If an invoice is not paid by its due date, we may pause work and support until it is paid. You pay the reasonable costs of collecting unpaid invoices, including attorneys’ fees.
- Payment disputes. If you have a problem with a charge, please contact us first. If you dispute a valid payment with your bank or card company instead, you still owe the amount, plus any dispute fees we are charged.
- Other companies’ costs. You pay for the third-party services your system uses, such as software subscriptions, phone numbers, texting and calling fees, carrier registration fees, AI usage fees, domains, and hosting. These are either billed to you directly by the provider or passed through by us at cost.
- Taxes. Prices don’t include taxes. If tax applies, it will be added to your invoice.
7. Monthly support plans
- Monthly plans are month-to-month. Each plan’s description says what it includes. Work beyond the plan is priced separately.
- You can cancel by email at any time before your next billing date. Cancelling stops future charges. We don’t refund partial months.
- We may change a plan’s price by emailing you at least 30 days before the new price takes effect. You can cancel before then.
- We may end a plan by emailing you 30 days in advance, or right away if an invoice is more than 30 days overdue.
8. Fixes after launch
For 30 calendar days after launch or handover, we fix defects in the work we delivered at no charge. A defect means the work doesn’t do what the statement of work describes. New features, changes you ask for, and problems caused by third-party services, by changes you or others make, or by your instructions are not defects. After 30 days, fixes are covered by a monthly plan or priced separately.
9. Ending a project
Either of us can end a project by email. If a project ends early, you pay for the work completed (measured by the milestones in your statement of work or, if it has none, the hourly rate in your proposal) and for approved third-party costs we can’t cancel. We return any part of your deposit we haven’t earned. We do not offer a blanket money-back guarantee.
10. Ownership
- Your deliverables. Once you have paid in full, you own the custom deliverables we create for you, such as your workflows, scripts, prompts, documents, and website content, to the extent we hold rights in them.
- Our tools. We keep ownership of our reusable tools, templates, methods, code libraries, and know-how. You get a permanent license to use the parts built into your system for your business.
- Other companies’ software stays with its owners under their terms.
- Portfolio. We show your work or name you as a client publicly only with your permission.
11. Your accounts, access, and data
- Accounts in your name. Where practical, the accounts your system runs on (such as your CRM, phone numbers, texting service, email, forms, domain, hosting, and AI accounts) should be in your business’s name, and you give us access. You stay the owner.
- Access. We use the least access practical and use it only for your work. We prefer to be added as a user rather than share passwords. You can remove our access at any time, though that may stop work or support.
- Accounts we hold for you. If we open an account for your system in Crewcab’s name, you pay its usage fees, and we transfer it to you or help you move to your own account when the work ends and you have paid in full.
- Your data. You own your business data and your customers’ data. We use it only to build and support your systems, following your instructions. We may use service providers (such as Google and AI assistants like ChatGPT or Claude) and contractors who have agreed to keep it confidential to do that work. We don’t sell your data or use it for our own marketing.
- When work ends. When a project or plan ends, we remove our access when you ask, and we return or delete copies of your data we hold, except records we must keep by law.
- Your security and backups. You are responsible for the security of your own accounts and devices and for keeping backups of data that matters to your business.
12. Your customers: texts, calls, emails, and recordings
Many systems we build text, call, or email your customers, and some answer or record calls. Your business is responsible for how it contacts and records its customers, including:
- having permission or another lawful basis for each text, call, and email, especially automated texts and calls, and calls that use an AI or prerecorded voice;
- following the laws that apply, such as the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, do-not-call rules (Missouri’s no-call law covers texts), and other states’ telemarketing and texting laws;
- completing carrier registration for business texting (A2P 10DLC) where your provider requires it;
- following call-recording laws, which in some states require everyone on the call to agree; and
- honoring opt-out and do-not-contact requests.
We build opt-out handling into the systems we set up and tell you about issues we notice, but we do not give legal advice, and we are not responsible for the messages and calls your business decides to send or make. We may decline to build anything we believe is unlawful or breaks a platform’s rules, such as texting purchased contact lists.
Websites and forms we build. Unless your statement of work says otherwise, you are responsible for the legal compliance of the websites, forms, and messages we build for your business, including accessibility, your own privacy policy, and your opt-in wording. We will tell you about issues we notice.
13. AI features
Some systems we build use AI to draft replies, answer questions, summarize information, or take simple actions.
- AI can be wrong. AI can give answers that are inaccurate, incomplete, or inappropriate. You decide what AI is allowed to do in your business. You should review its work, especially anything about prices, schedules, or commitments to customers, or anything affecting someone’s safety, money, or legal rights.
- Not professional advice. AI features are not a substitute for licensed professional advice, such as legal, medical, financial, or safety advice.
- Disclosure. By default, we set up AI phone and chat systems to tell people they are talking to an automated assistant and to announce when a call is recorded. Some states require these notices. You are responsible for keeping them in place.
- AI providers. AI features run on third-party services (such as OpenAI or Anthropic) under those providers’ terms, and their usage fees are a third-party cost (see Section 6).
14. Third-party services
Your systems depend on other companies’ software and services, such as CRMs, scheduling tools, phone and texting providers, email services, AI providers, payment processors, hosting, and domain registrars. Those companies set their own terms, prices, features, and availability, and they can change them. We are not responsible for their outages, changes, or decisions, including account suspensions. If a provider’s change breaks part of your system, fixing it is support work, covered by a monthly plan or priced separately.
15. Confidentiality
Each of us will keep the other’s non-public business information confidential and use it only for our work together. This doesn’t apply to information that is already public, that the other party already had, or that the law requires to be disclosed. We may share your information with the service providers and contractors described in Section 11 to do your work, and anyone who helps us must agree to keep it confidential.
16. Results are not guaranteed
Leads, response times, bookings, sales, and revenue depend on many things outside our control, including your market, your prices, your team, and third-party services. We build and support systems carefully, but we do not guarantee specific business results.
17. Our promise and disclaimers
We will do our work in a professional and workmanlike way. If work doesn’t meet that standard and you tell us within 30 days after launch or handover, we will fix it or, if we can’t, refund what you paid for the part that falls short. That is your only remedy under this promise.
OTHER THAN THAT PROMISE, OUR WORK, OUR WEBSITE, AND THE SYSTEMS WE BUILD ARE PROVIDED “AS IS,” TO THE FULLEST EXTENT THE LAW ALLOWS. WE MAKE NO OTHER WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
18. LIMITS ON OUR LIABILITY
PLEASE READ THIS SECTION CAREFULLY. IT LIMITS WHAT CREWCAB OWES YOU IF SOMETHING GOES WRONG, INCLUDING IF IT IS CAUSED BY CREWCAB’S NEGLIGENCE.
To the fullest extent the law allows:
- Crewcab is not liable for indirect or consequential losses, including lost profits, lost revenue, lost leads or customers, lost or damaged data, or business interruption, even if we knew they were possible.
- Crewcab’s total liability for all claims related to these terms, our work, or our website is limited to: (a) for a project, the fees you paid for that project; (b) for a monthly plan, the plan fees you paid in the 6 months before the event that caused the claim; or (c) $100 for any other claim, or if you have paid us nothing.
These limits do not apply to gross negligence, willful misconduct, or anything the law does not allow us to limit.
19. Your responsibility for claims against us
You will defend Crewcab and pay any resulting costs, damages, fines, and reasonable attorneys’ fees if someone (such as one of your customers, a mobile carrier, or a government agency) makes a claim against Crewcab that comes from:
- texts, calls, emails, or recordings your business sends or makes, including through systems we built;
- your data, content, or materials;
- your use of a system in a way that breaks these terms, our written instructions, or the law; or
- instructions you gave us.
This does not apply to the extent the claim was caused by Crewcab’s negligence or Crewcab’s breach of these terms.
If a claim like this comes up, we will tell you promptly, let you control the defense, and cooperate reasonably at your expense. You won’t settle a claim in a way that admits fault for Crewcab or requires Crewcab to pay without our written permission.
20. Using our website
- Content. Information on our website is general. Service descriptions are examples of what we build, not fixed packages. Prices are set in proposals. We may change the website at any time, and it may sometimes be unavailable.
- Our name and content. “Crewcab,” the Crewcab logo, and our website content belong to Crewcab Systems LLC. You may view our website, share links to it, and print pages for your own reference. Please ask before reusing our content commercially. Fonts and other third-party materials on the website are used under their own licenses.
- Acceptable use. Don’t try to overload, break, or get around the security of our website; send spam or harmful code through our booking page or messages; or use our website or communications for anything unlawful.
- Links. Our website may link to other websites. We are not responsible for their content or practices.
21. Your rights under the law
Nothing in these terms limits rights that the law does not allow to be waived.
22. Disputes and governing law
If you have a concern, please email us first so we can try to resolve it. These terms are governed by the laws of the State of Missouri. Any lawsuit about these terms or our work will be brought in the state or federal courts serving St. Louis County, Missouri, and both of us agree to those courts’ jurisdiction. These terms do not require arbitration.
23. Text message terms
Crewcab texts. If you agree to receive texts from Crewcab, we may text you about your booking, call reminders, scheduling, proposals, project updates, and invoices. We send marketing texts only if you separately agree to receive them.
- Message frequency varies. Message and data rates may apply.
- Reply STOP to opt out at any time. Replies such as QUIT, END, CANCEL, UNSUBSCRIBE, REVOKE, or OPT OUT also work. Reply START to start again.
- Reply HELP for help, or email [email protected].
- Mobile carriers are not liable for delayed or undelivered messages.
- Agreeing to texts is not a condition of buying anything from us.
See our Privacy Policy for how we handle your information.
24. General
- Independent business. Crewcab is an independent business, not your employee or partner. We may use contractors to help with our work, and we remain responsible for their work.
- Events outside our control. Neither of us is responsible for delays caused by events outside our reasonable control, such as outages at third-party providers, internet failures, or natural disasters.
- Transfers. Neither of us may transfer these terms to someone else without the other’s written permission, except as part of a sale or merger of the business.
- Whole agreement. These terms, together with your proposal or statement of work and any signed client agreement, are the whole agreement between us about the work.
- If part is invalid. If a court finds part of these terms unenforceable, the rest stays in effect.
- After the work ends. Sections 6 (payment), 10 (ownership), 15 (confidentiality), 18 (limits on our liability), 19 (your responsibility for claims), and 22 (disputes) still apply after a project or plan ends.
- Notices. We will send notices to the email address you gave us. Send notices to [email protected].
25. Changes to these terms
We may update these terms. The version that applies to your work is the one named in your proposal. Changes do not affect proposals already signed, except that monthly plan prices may change as described in Section 7. We keep past versions and will send you the version that applies to your work if you ask.
